1. Represents restricted stock units granted by the Issuer pursuant to its 2013 Stock Option and Incentive Plan and the Issuer's Non-Employee Director Compensation Policy. The restricted stock units vest on the earlier of June 20, 2018 or the Issuer's next annual meeting of stockholders, subject to the director's continued service on the Board of Directors, or immediately upon the death or disability of the director or upon a change-of-control of the Issuer.
