| 1. The option grant was approved by GI Dynamics, Inc.'s board of directors on January 4, 2017, subject to shareholder approval. The option vests over a three (3) year period, with one third (1/3) of the shares vesting on the one (1) year anniversary of the date of grant, and the remaining shares vesting in equal amounts on a quarterly basis over the following two (2) years until January 4, 2020. In the event of a change of control of the Issuer, the option shall become vested in full. |
