This Current Report on Form 8-K/A amends the Current Report on Form 8-K dated October 31, 2006 of Altra Industrial Motion, Inc. (the “Company”). On November 10, 2006, the Company announced certain revisions to its unaudited financial results for the third quarter and first nine months of 2006 related to an increase in the gain on the curtailment of post-retirement benefits. The revisions were the result of a corrected actuarial report. A copy of the press release announcing the revisions is attached hereto as Exhibit 99.1, which is incorporated by reference herein.
