Section 1 - Registrant’s Business and Operations
Item 1.01. Entry into a Material Definitive Agreement.
On January 30, 2023, FreightCar North America, LLC, FreightCar America, Inc. (the “Company”), certain other subsidiary guarantors of the Company, CO Finance LVS VI LLC and OC III LFE II LP (collectively, the “Loan Parties”) entered into Amendment No. 6 to Credit Agreement (the “Amendment”), with respect to that certain Credit Agreement dated as of October 13, 2020 by and among the Loan Parties (as amended, restated, supplemented or otherwise modified from time to time, and together with the Amendment, the “Term Loan Credit Agreement).
The Amendment amends the Term Loan Credit Agreement to extend the date for the Company to draw on the delayed draw loan of $15 million from January 31, 2023 to March 3, 2023.
