Explanation of Responses:

1. In connection with the consummation of the transactions contemplated by the Agreement and Plan of Merger (the "Merger Agreement"), dated as of October 15, 2023, by and among the Issuer, Condor Holdings LLC and Condor Merger Sub Inc., each share of the Issuer's common stock and each restricted share award held by the Reporting Person were converted into the right to receive an amount in cash equal to $4.70 per share.
