Explanation of Responses:

1. Reflects restricted stock units (RSUs) granted to the reporting person pursuant to the terms of his employment agreement, which RSUs vest in three approximately equal installments on each of July 1, 2019,2020, and 2021, subject to the reporting person's continued employment with the issuer on each such date (subject to certain limited exceptions). Pursuant to the employment agreement the restricted stock units may be settled solely in cash ("cash-settled RSUs"). Each cash-settled RSU is the economic equivalent of one share of common stock of the issuer.
