Item 7.01 - Regulation FD Disclosure.
Pursuant to the Scheduling Order with Respect to Notice and Settlement Hearing of the Delaware Court of Chancery (the “Court”), dated May 26, 2022, Palantir Technologies Inc. (the “Company”) is hereby furnishing, as Exhibit 99.1 to this Current Report on Form 8-K, the Notice of Proposed Settlement (the “Notice”), which references a Stipulation of Compromise and Settlement dated as of May 13, 2022 (the “Settlement”). The Notice and Settlement relate to the proposed settlement of the action against the Company and its founders, Stephen Cohen, Alexander Karp, and Peter Thiel, relating to the Company’s Class F Common Stock. The settlement involves amendments to the Company’s bylaws, the proposal to stockholders of potential amendments to the Company’s certificate of incorporation, and the payment of certain plaintiffs’ attorneys’ fees and expenses as may be approved by the Court.
