| Item 1.01 | Entry into a Material Definitive Agreement. |
On December 11, 2009, Kraton Polymers U.S. LLC (“Kraton”) and Shell Chemical LLP (“Shell”) fully executed Amendment Number Twelve (#12) of their Isoprene Sales Contract of September 11, 1999 (the “Amendment Number Twelve (#12)”), which Amendment Number Twelve (#12) is dated effective December 11, 2009.
Under the terms of Amendment Number Twelve (#12), the Period of the Contract under Article 3 was amended and restated. The period of this Sales Contract will begin on July 1, 1999 and end of December 31, 2009, but will continue thereafter, subject to termination effective on such ending date, or at any subsequent time, by either Party giving the other at least nine (9) calendar days prior written notice at any time for any reason, provided that such termination will not take effect before December 31, 2009.
* Kraton Polymers U.S. LLC is a wholly owned subsidiary of Elastomers Holdings LLC. Elastomers Holdings LLC is a wholly owned subsidiary of Kraton Polymers LLC.
