Item 1.01 Entry into a Material Definitive Agreement.
On October 26, 2006, Kraton Polymers LLC (the "Company") entered into an Separation Agreement and General Release and Waiver with Raymond K. Guba attached hereto as Exhibit 10.1.
The terms of the separation agreement with Mr. Guba provide, among other things, a lump sum payment of $7,294.91, in satisfaction of all accrued but unused vacation and the continuation of his annual base salary for up to one year. Mr. Guba will forfeit all unvested options and will be subject to customary confidentiality and non-disparagement provisions.
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
As previously reported, on October 10, 2006 the Company filed a Current Report Form 8-K, in which the Company announced the departure of Mr. Guba as the Company's Vice President and Chief Financial Officer.
