Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 20, 2007, Mr. John Breckenridge, a principal of CCMP Capital Advisors, LLC*, resigned as a member of the Board of Directors of Kraton Polymers LLC (the "Company"). Mr. Breckenridge also served as a member of the Audit, Compensation and Executive Committees of the Company. The Company does not intend to fill the vacancy created by the resignation of Mr. Breckenridge at this time.
*CCMP Capital Advisors, LLC, a private equity firm formed in August 2006 by the former buyout/growth equity investment team of J.P. Morgan Partners, LLC, a private equity division of JPMorgan Chase & Co. The Company is a wholly owned subsidiary of Polymer Holdings LLC. Polymer Holdings LLC is a wholly owned subsidiary of TJ Chemicals Holdings LLC and is indirectly owned by TPG Partners III, L.P., TPG Partners IV, L.P., and certain of their parallel investment entities affiliated with or managed by J.P. Morgan Partners LLC and affiliates and certain members of our management or Board of Directors.
