On May 12, 2020, Penumbra, Inc. (the “Company”) announced that Sri Kosaraju had resigned as President of the Company, effective May 11, 2020, in order to volunteer his time to a non-profit organization focused on COVID-19 testing. Mr. Kosaraju plans to continue as a non-executive employee of the Company for several months to help ensure a seamless transition.
In connection with Mr. Kosaraju’s resignation as President of the Company, on May 11, 2020, the Board of Directors of the Company appointed Adam Elsesser, the Company’s Chairman and Chief Executive Officer, as President of the Company, effective May 11, 2020. Mr. Elsesser previously served as the Company’s President from January 2015 to August 2019, and will receive no additional compensation for his service as President. The information required by Items 401(b), (d), (e) and Item 404(a) of Regulation S-K promulgated under the Securities Act of 1933, as amended (the “Securities Act”), with respect to Mr. Elsesser was previously reported in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 23, 2020, and such disclosure is incorporated herein by reference.
