Item 1. 01 Entry into a Material Definitive Agreement.
On September 18, 2007, the Registrant entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies & Company, Inc. (the “Underwriter”) pursuant to which the Registrant agreed to sell to the Underwriter 5,000,000 shares of common stock, par value $0.01 per share (the "Shares") in a registered public offering at a price per Share to the Underwriter of $25.40. On September 21, 2007 the sale of the Shares pursuant to the Underwriting Agreement was completed, resulting in net proceeds to the Registrant of $127,000,000 before expenses.
