Item 1.01. Entry into a Material Definitive Agreement.
On November 20, 2007, Biodel Inc. (the “Company”) amended and restated its employment agreement with Dr. Solomon S. Steiner, the Company’s President and Chief Executive Officer (the “Restated Employment Agreement”). The Restated Employment Agreement (i) extends the term to November 20, 2009, (ii) increases the base salary to $375,000, and (iii) provides that Dr. Steiner shall be entitled to receive an annual year-end bonus in cash in an amount of not more than fifty percent (50%) of Base Salary as determined by the Board of Directors.
All other terms of the Restated Employment Agreement remain in full force and effect.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 21, 2007, the Company issued a press release (the “Press Release”) announcing that Brian J.G. Pereira, M.D had been elected a director of the Company to fill the vacancy created by the resignation of Paul Sekhri. Dr. Pereira is president and CEO of AMAG Pharmaceuticals. Dr. Pereira will serve for a term expiring at the annual meeting in 2009. As a result of his election, Dr. Pereira will automatically be granted options to purchase 25,000 shares of the Company’s common stock pursuant to the Company’s stock incentive plan. Such options will vest immediately. Dr. Pereira is expected to be elected a member of Nominating and Corporate Governance Committee and the Audit Committee.
