Explanation of Responses:

1. Represents gifts of Issuer shares to the Reporting Person's children in connection with the Reporting Person's estate planning.

2. Although previously reported as separately held, the Issuer shares held by the Reporting Person and his spouse represent community property, and are now being reported as directly held by the Reporting Person.

3. Represents a distribution of Issuer shares from K&G Family, LLC (the "Family LLC"), of which the Reporting Person is the manager, to certain members in connection with their withdrawal from the Family LLC. The withdrawing members are the Reporting Person's children, and the distribution is in connection with the Reporting Person's estate planning.

4. The shares of common stock are held directly by K&G Family, LLC, of which Keith G. Myers is a manager.
