On February 28, 2013, Kodiak Oil & Gas Corp. (the “Company”) issued a press release announcing the financial results of the Company for the fourth quarter and year ended December 31, 2012.  A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
