Explanation of Responses:

1. On June 13, 2023, the reporting person sold 300,000 shares of Common Stock to the Company in an exempt transaction pursuant to Rule 16b-3. The sale price per share was the closing price of the Common Stock on June 13, 2023. The transaction was approved by the Audit Committee and the disinterested members of the Board of Directors of the Company.

2. Represents the number of shares of Common Stock that have been withheld by the issuer to satisfy its income tax withholding and remittance obligations in connection with the net settlement of Restricted Stock Awards ("RSAs") and does not represent a sale.
