On May 19, 2010, Christopher J. Davis resigned as a member of the board of directors of Cardiac Science Corporation (the “Company”) effective immediately. Mr. Davis had been a member of the class of directors whose terms expire at the Company’s 2012 annual meeting. The resignation did not result from any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
