Explanation of Responses:

1. These shares were surrendered to the issuer to cover the tax obligations on shares for which restrictions have lapsed.

2. The number of shares held directly includes certain shares there were previously held by Stock Awards and that have subsequently vested.

3. This form reflects an increase in beneficial ownership resulting from dividend reinvestment pursuant to Rule 16a-11 and any contributions to the plan.

4. The remaining 38,020 shares granted under Stock Award XV on January 12, 2021 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan, will vest in two approximately equal annual installments commencing on January 12, 2025.

5. The remaining 4,777 shares, granted under Stock Award XVI on February 26, 2021 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan, will vest on February 26, 2024.

6. The remaining 17,344 shares granted under Stock Award XVII on April 13, 2022 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan. The shares will vest in two equal annual installments commencing on April 13, 2024.

7. These shares were granted under Stock Award (032423) on March 24, 2023 pursuant to Issuer's 2020 Omnibus Incentive Plan, and will vest in three equal annual installments commencing on March 24, 2024.
