The registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the registrant shall file a further amendment which specifically states that this registration statement shall thereafter become effective in accordance with Section 8(a) of the Securities Act of 1933 or until the registration statement shall become effective on such date as the Commission acting pursuant to said Section 8(a), may determine.
DEREGISTRATION OF SECURITIES
Coleman Cable, Inc. (the “Company”) filed a Registration Statement on Form S-1 (333-138750) (the “Registration Statement”), which was declared effective on February 28, 2007. The Registration Statement registered 16,786,895 shares of common stock, par value $0.001, of the Company for resale by the selling shareholders named therein (the “Selling Shareholders”). The Company is no longer subject to registration requirements pursuant to its Registration Rights Agreement, dated October 11, 2006 between the Company and Friedman, Billings, Ramsey & Co., Inc., and, therefore, the Company’s obligation to maintain the effectiveness of the Registration Statement has terminated. Pursuant to the undertaking contained in the Registration Statement, the Company is filing this Post-Effective Amendment No. 6 to Form S-1 to deregister such number of shares originally registered by the Registration Statement as remain unsold as of the termination of the offering.
