On December 20, 2021, Hexion Holdings Corporation (the “Company”), the indirect parent of Hexion Inc., issued a press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”), dated as of December 20, 2021, by and among the Company, ASP Resins Intermediate Holdings, Inc., a Delaware corporation and an affiliate of American Securities LLC (“Parent”), and ASP Resins Merger Sub, Inc., a Delaware corporation (“Merger Sub”). The Merger Agreement provides, among other things, that, upon the terms and subject to the conditions set forth therein, Merger Sub will merge with and into the Company, with the Company surviving as a wholly-owned subsidiary of Parent. On December 20, 2021, in connection with the Merger Agreement, the Company and Parent entered into support agreements with holders of a majority of the Company’s outstanding shares of common stock, pursuant to which, among other things, and upon the terms and conditions set forth therein, such holders have agreed to vote their shares in favor of the approval and adoption of the Merger Agreement.
