Item 1.01 Entry into a material definitive agreement
On March 31, 2006, MWI Veterinary Supply, Inc. (“MWI”) and Pfizer, Inc. (“Pfizer”) entered into a Livestock Products Agreement effective January 1, 2006. Under the Livestock Products Agreement, MWI is entitled to distribute certain Pfizer products to customers in the cattle and swine fields. In return, MWI is entitled to certain service fees and rebates. MWI is required to maintain sufficient inventory levels to meet anticipated customer demand and to store products in accordance with their respective label instructions. The agreement expires on December 31, 2006 and can be terminated by either party with or without cause upon 30 days prior written notice. A copy of this agreement is filed as Exhibit 10.1 to this report and is incorporated by reference herein.
