On February 24, 2015, pursuant to the Agreement and Plan of Merger, dated as of January 11, 2015, by and among MWI Veterinary Supply, Inc., a Delaware corporation (the “Company”), AmerisourceBergen Corporation, a Delaware corporation (“Parent”), and Roscoe Acquisition Corp., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), Merger Sub merged with and into the Company, with the Company as the surviving entity and a wholly-owned subsidiary of Parent.
