Item 8.01 Other Events
On August 21, 2006, Expedia, Inc. privately offered $500.0 million of senior unsecured notes due 2018 (the “Notes”). We are filing this Current Report on Form 8-K for the purpose of incorporating the contents of this report into the Registration Statement on Form S-4 that we anticipate filing with the Securities and Exchange Commission (“SEC”). The Form S-4 will register the exchange of the Notes for registered notes having the same financial terms and covenants.
Filed herewith, as Exhibit 99.1, are our audited consolidated balance sheets as of December 31, 2005 and 2004, and the related consolidated statements of income, stockholders’ equity and comprehensive income and cash flows for each of the three years in the period ended December 31, 2005, including new supplemental condensed consolidating financial information in Note 22 pursuant to Item 3-10 of Regulation S-X, “Financial Statements of Guarantors, and Affiliates Whose Securities Collateralize an Issue.”
Additionally, filed herewith, as Exhibit 99.2, are our unaudited consolidated balance sheet as of September 30, 2006, audited consolidated balance sheet as of December 31, 2005, and the related unaudited consolidated statements of income, stockholders’ equity and comprehensive income and cash flows for the three and nine month periods ended September 30, 2006 and 2005, including new supplemental condensed consolidating financial information in Note 14.
Except as specifically described above with respect to the addition of Note 22 and Note 14 to the consolidated financial statements, no other information within the attached exhibits has been changed from the versions previously filed with our Annual Report on Form 10-K for the year ended December 31, 2005 and Quarterly Report on Form 10-Q for the quarter ended September 30, 2006.
