Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
As previously disclosed, Expedia Group, Inc., a Delaware corporation, and certain of its subsidiaries (collectively, the “Company”) are party to a $2 billion revolving credit facility established pursuant to that certain Amended and Restated Credit Agreement, dated as of September 5, 2014 (as amended, supplemented or otherwise modified, the “Credit Agreement”). On March 18, 2020, the Company borrowed $1.9 billion under the Credit Agreement (the “Revolving Loan”). Pursuant to the terms of the Credit Agreement, the Revolving Loan matures on May 31, 2023 and bears interest at a per annum rate equal to adjusted LIBOR plus a spread that varies based on the Company’s senior unsecured non-credit-enhanced long-term debt ratings (which spread is currently 1.125%).
The Revolving Loan was undertaken as a precautionary measure to provide increased liquidity and preserve financial flexibility in light of current disruption and uncertainty resulting from the COVID-19 outbreak. The proceeds from the Revolving Loan will be available to be used for general corporate purposes, including working capital.
