On August 27, 2015, the compensation committee (the “Committee”) of the board of directors of Apigee Corporation approved an increase to the annual base salary of Chet Kapoor, its chief executive officer, from $335,000 to $350,000 and an increase in his target annual cash incentive opportunity from 50% of his base salary to 70% of his base salary. These increases were effective as of August 1, 2015.
