Explanation of Responses:

1. On the date hereof, Mr. Strubel does not own any Common Units of limited liability company interests (the "Common Units") of Goldman Sachs Private Middle Market Credit LLC (the "Company"). However, on November 17, 2016, the Company issued a capital call notice to certain investors that have committed to purchase Common Units. Pursuant to such capital call notice, Mr. Strubel is obligated to make a capital contribution of $21,000 on November 28, 2016 out of his $100,000 aggregate capital commitment to the Company, and the Company is obligated to issue 213.67 Common Units to Mr. Strubel, provided such capital contribution is funded timely.
