Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award. The RSUs shall vest in 4 equal quarterly installments measured from July 12, 2022, provided that the RSUs shall become fully vested as of the day immediately preceding the Issuer's 2023 annual meeting of stockholders, if sooner, subject in all cases to the Reporting Person's continuous service to the Issuer through each vesting date.
