Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of common stock, par value $0.01 per share, of Gulfport Energy Corporation (the "Issuer") and was granted under the Issuer's equity incentive plan. The 85,215 restricted stock units reported on this form will vest in three substantially equal annual installments beginning on March 31, 2016, with the settlement of the initial tranche to occur on the second business day after the applicable trading window opens.
