Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Board Election to Fill Independent Director Vacancy

Effective January 19, 2022, Wan-Chong Kung has been elected by the Board of Directors of the Federal Home Loan Bank of Des Moines (“Bank”) to fill the vacancy reported in the Bank’s Current Report on Form 8-K filed with the Securities and Exchange Commission on November 19, 2021. The unexpired term Ms. Kung has been elected to fill ends on December 31, 2022. Ms. Kung will serve on the Board’s Finance and Technology committees, and receive compensation in accordance with the Bank’s 2022 Director Fee Policy.

For information on director independence and transactions with related persons, see “Item 13-Certain Relationships and Related Transactions, and Director Independence” of the Bank’s 2020 Annual Report.

The election of Ms. Kung took place in accordance with the rules governing the filing of vacancies on the Boards of Directors of Federal Home Loan Banks contained in the regulations of the Federal Housing Finance Agency, the regulator of the Federal Home Loan Banks.

On January 24, 2022, the Bank issued an announcement to its members concerning Ms. Kung’s election. The announcement is attached as Exhibit 99.1 to this Current Report. The information set forth under Item 5.02 is also furnished pursuant to this Item 7.01.
