Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On October 23, 2005, the Board of Directors (the “Board”) of Alon USA Energy, Inc., a Delaware corporation (the “Company”), increased the number of directors constituting the Board to ten and appointed Avraham Baiga Shochat to fill the newly created directorship. Mr. Shochat was also appointed a member of the Audit Committee of the Board. There are no arrangements or understanding between Mr. Shochat and any other person pursuant to which he was elected as a director. Mr. Shochat does not have a material interest in any transaction to which the Company or any of its subsidiaries is a party.
Attached as Exhibit 99.1 hereto and incorporated herein by reference in its entirety is the press release issued by the Company on October 24, 2005, announcing the election of Mr. Shochat.
