On June 4, 2019, the Company completed a recapitalization transaction (the “Recapitalization Transaction”), as described in the Company’s management information circular dated April 19, 2019, filed with the SEC on the Company’s Report on Form 6-K dated April 24, 2019 (the “Form 6-K”) and implemented pursuant to a court-approved plan of arrangement under theCanada Business CorporationsAct. The percentages used herein are calculated based upon 40,863,008 Shares reported to be outstanding upon completion of the Recapitalization Transaction, as reported in the Company’s Form 6-K. The Recapitalization Transaction included, among other things, the exchange of the Company’s 6.75% convertible debentures due 2021, including those held directly by the Polar Vehicles and Polar Opportunities Fund, a Cayman Islands exempted company, into new Shares. | |
