Explanatory Note: Linn Energy, LLC (the “Company”) filed a Current Report on Form 8-K, dated April 3, 2006, to provide disclosure under Item 4.02 with respect to the restatement of the financial statements of the Company and its subsidiaries for the period March 13, 2003 (inception) through December 31, 2003 and for the year ended December 31, 2004. This amendment is filed solely to disclose the anticipated date of filing the Company’s Annual Report on Form 10-K for the year ended December 31, 2005 (the “2005 Form 10-K”) containing restated financial statements of the Company and its subsidiaries for the period March 13, 2003 (inception) through December 31, 2003 and for the year ended December 31, 2004.
Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review
The Company currently anticipates that it will file the 2005 Form 10-K containing restated financial statements of the Company and its subsidiaries for the period March 13, 2003 (inception) through December 31, 2003 and for the year ended December 31, 2004 on or before May 30, 2006.
