ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On October 24, 2008, Zoo Publishing, Inc. (“Zoo Publishing”), the wholly-owned subsidiary of our wholly-owned subsidiary Zoo Games, Inc. entered into a Sales Agreement (the “Agreement”) with Atari, Inc. (“Atari”) effective immediately, pursuant to which Zoo Publishing will sell its products to Atari and Atari will resell the products to wholesalers and retailers in the United States, Mexico and Canada for sales to ultimate end users. The Agreement expires on March 31, 2009.
