Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 17, 2022, the Federal Home Loan Bank of Cincinnati’s (FHLB’s) board of directors (Board) declared five individuals elected in the FHLB’s 2022 election of directors (2022 Director Election) with each serving a four-year term to commence January 1, 2023, and end December 31, 2026. The Board comprises Member Directors and Independent Directors who are elected by the FHLB’s Members, as discussed under “Item 10-Directors, Executive Officers, and Corporate Governance” of the FHLB’s 2021 Annual Report on Form 10-K filed with the Securities and Exchange Commission on March 17, 2022 (2021 Annual Report).
After reviewing the results of the 2022 Director Election, the Board declared the following individuals elected as Ohio and Tennessee Member Directors, respectively:
-- Michael P. Pell, President & CEO, First State Bank, Winchester, Ohio. An incumbent Director, Mr. Pell currently serves on the Board’s Audit Committee, and Housing and Community Development Committee.
-- H. McCall Wilson, Jr., President & CEO, Bank of Fayette County, Collierville, Tennessee.
-- Roy Molitor (Mott) Ford, Jr., Chairman & CEO, Commercial Bank and Trust Co., Memphis, Tennessee.
In addition, after reviewing the results of the 2022 Director Election, the Board declared the following individuals elected as Independent Directors:
-- Leslie Scott Spivey, Retired Finance Management Executive, Cincinnati, Ohio. An incumbent Director, Mr. Spivey currently serves on the Board’s Audit Committee and Risk Committee.
--Nancy E. Uridil, Retired Global Consumer Products Executive, Avon Lake, Ohio. An incumbent Director, Ms. Uridil currently serves on the Board’s Business and Operations Committee, Human Resources, Compensation and Inclusion Committee, and Governance Committee, which she chairs.
The 2022 Director Election took place in accordance with the rules governing the election of Federal Home Loan Bank directors specified in the Federal Home Loan Bank Act and the related Federal Housing Finance Agency regulations.

For information on Director independence and transactions with related persons, see “Item 13-Certain Relationships and Related Transactions, and Director Independence” of the FHLB’s 2021 Annual Report.
Board committee assignments for 2023 will be determined in the normal course.
Item 5.07 Submission of Matters to a Vote of Security Holders.
The Board declared the 2022 Director Election voting results final on November 17, 2022, as described in Item 5.02 of this Current Report. In an announcement sent to the FHLB’s Members on November 21, 2022, the FHLB reported complete voting results, which is attached as Exhibit 99.1 to this Current Report, and incorporated herein by reference.
