Item 8.01 Other Events.
On February 25, 2021, TrueCar, Inc. (the “Company”) clarified its management’s expectations with respect to its Adjusted EBITDA for the first quarter of 2021, indicating an expectation of approximately breakeven Adjusted EBITDA.
The Company is unable to provide a reconciliation of forward-looking Adjusted EBITDA without unreasonable effort because of the uncertainty and potential variability in amount and timing of stock-based compensation, which is a reconciling item between GAAP net income (loss) and Adjusted EBITDA and could significantly impact GAAP results.
