NOTICE IS HEREBY GIVEN that the Annual Meeting of Stockholders of Vestin Realty Mortgage II, Inc., a Maryland corporation (referred to herein as “we”, “our” or the “Company”), will be held on Wednesday, June 2, 2010, at 10:30 a.m. Eastern Time at Venable, LLP, 750 E. Pratt, Suite 900, Baltimore, Maryland 21202, for the following purposes:
| 1. | To elect one director to serve on our board of directors until the 2013 Annual Meeting of Stockholders or until his successor is duly elected and qualified; |
| 2. | To consider and vote upon the ratification of the appointment of JLK Partners, LLP as our independent registered public accountants for the fiscal year ending December 31, 2010; and |
| 3. | To transact such other business as may properly come before the meeting or any postponement or adjournment thereof. |
Our Board of Directors recommends a vote “FOR” the election of our director and “FOR” the ratification of the appointment of our independent registered public accountants.
