CALCULATION OF REGISTRATION FEE
Pursuant to Rule 415(a)(6) under the Securities Act of 1933, as amended, the securities registered pursuant to this Registration Statement will include unsold securities previously registered for sale pursuant to the registrant's registration statement on Form S-11 (File No. 333-222630) initially filed by the registrant on January 19, 2018 and declared effective on September 5, 2018 (the "Prior Registration Statement"). The Prior Registration Statement registered shares of the registrant's common stock with a maximum aggregate offering price of $3 billion for sale pursuant to the registrant's primary offering and the registrant's distribution reinvestment plan. As of December 1, 2022, approximately $2.38 billion in shares of common stock remain unsold on the Prior Registration Statement. The registrant will identify in a pre-effective amendment to this Registration Statement the amount of shares of common stock to be carried forward to this Registration Statement from the Prior Registration Statement and any new shares of common stock to be registered. For purposes of calculating the registration fees due in connection with the filing of this Registration Statement, the registrant has assumed that $2.141 billion of unsold shares of common stock originally registered for sale pursuant to the Prior Registration Statement will be carried forward to this Registration Statement. Pursuant to Rule 415(a)(6) the registration fees in the amount of $266,554.50 previously paid with respect to such unsold securities will continue to apply to such unsold securities. Thus, $510,867 in filing fees are due in connections with this Registration Statement, $43,640 of which were paid with the initial filing. Pursuant to Rule 415(a)(6), the offering of unsold securities under the Prior Registration Statement will be deemed terminated as of the date of effectiveness of this Registration Statement.

The registrant paid filing fees of $266,554.50 with respect to such unsold securities in connection with such previous registration. The registration fees previously paid with respect to such unsold securities will continue to be applied to such unsold securities in this Registration Statement. Thus, $510,867 in filing fees are due in connections with this Registration Statement, $43,640 of which were paid with the initial filing, based on a proposed maximum offering price of $7.5 billion after taking into account the previously registered unsold securities.
The Registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the Registrant shall file a further amendment that specifically states that this registration statement shall thereafter become effective in accordance with Section 8(a) of the Securities Act of 1933 or until the registration statement shall become effective on such date as the Securities and Exchange Commission, acting pursuant to said Section 8(a), may determine.
