Explanation of Responses:

1. These shares were acquired pursuant to a restricted stock unit award under the Imprivata, Inc. 2014 Stock Option and Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of Imprivata, Inc. common stock. The restricted stock units vest in four equal quarterly installments, the first of which will be on August 12, 2015, subject to the Reporting Person's continued service.
