Explanation of Responses:

1. Award of restricted stock granted under the Company's 2014 Equity Incentive Plan. The shares vest in equal annual increments over four years.

2. These shares are the payout of the award of Performance Restricted Stock Units granted in 2015 under the 2014 Equity Incentive Plan. The Performance Restricted Stock Units vest over a 3-year period, provided the measurement criteria is met. For the year ended December 31, 2015 the performance measuring criteria was met.

3. Surrender of shares to pay applicable tax withholding due to the vesting of restricted stock and performance restricted stock units.
