Item 1.01. Entry into a Material Definitive Agreement
On September 17, 2009, NewPage Corporation (the "Company") entered into a Purchase Agreement with Credit Suisse Securities (USA) LLC, Goldman, Sachs & Co. and Citigroup Global Markets Inc. as representatives of the purchasers named therein (together the "Purchasers"), pursuant to which the Company agreed to issue and sell to the Purchasers $1.7 billion in aggregate principal amount of its 11.375% senior secured notes due 2014 (the "Notes") in a private placement in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). Unless and until the Notes are registered under the Securities Act, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.This report shall not constitute an offer to sell or the solicitation of an offer to buy Notes, nor shall there be any sale of the Notes in any state in which such of fer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
The Purchase Agreement is filed as Exhibit 1.1 to this Current Report and is incorporated by reference herein in response to this Item 1.01.
