ITEM 2.06 Material Impairments.
Platinum Energy Resources, Inc. (the “Company”) determined that certain assets have been impaired due to the decline in prices for natural gas and oil, and overall industry activity. This conclusion was made in connection with the preparation of the December 31, 2008 financial statements and Form 10-K.
Based on year-end 2008 commodity prices, the Company expects to record a non-cash, full-cost ceiling write-down of approximately $80 to $85 million in the fourth quarter of 2008. The Company also expects to recognize a $5 million intangible asset and goodwill impairment charge related to the acquisition of Maverick Engineering, Inc. The impairment charge will not impact the Company's cash flow or cash balances and is not expected to result in any material future cash expenditures.
On March 31, 2009 the Company filed on Form 12b-25 notice that additional time will be required to complete the financial statements and secondary reviews needed to finalize its Annual Report on Form 10-K for the year ended December 31, 2008. As such, notification of the material impairment is required to be filed on Form 8-K.
