Explanation of Responses:

1. Class A Common Stock includes 1,205 unvested RSUs which will vest in two equal annual installments beginning on March 2, 2016; 8,000 unvested RSUs which will vest in two equal installments beginning on November 15, 2015; and 1,018 RSUs which will vest 100% on March 3, 2016.

2. Shares withheld to cover the exercise price in connection with the cashless exercise of options.

3. Shares withheld for taxes in connection with the cashless exercise of options.

4. Stock options vest in five equal annual installments, beginning on August 2, 2011, the first anniversary of the date of the grant.
