ITEM 8.01 OTHER EVENTS
On October 5, 2016, KBS Real Estate Investment Trust, Inc. (the “Company”) approved recommending to its stockholders that they reject a mini-tender offer made by MacKenzie Realty Capital, Inc. for up to 5,000,000 shares of the Company’s common stock, which is approximately 2.7% of the outstanding shares. The Company anticipates commencing distribution to its stockholders of the response containing this recommendation, appearing as Exhibit 99.1, on October 20, 2016.
