Explanation of Responses:

1. This amendment amends the Reporting Owner's Form 4 dated February 22, 2019 to state that the restricted stock units will vest on February 20, 2020. The Reporting Owner's Form 4 dated February 22, 2019 incorrectly stated that the restricted stock units would vest in three equal annual installments beginning on February 20, 2020. This is not a new or revised transaction but is being reported again to gain access to the SEC system.

2. The restricted stock units were acquired pursuant to the PDC Energy, Inc. 2018 Equity Incentive Plan and will vest on February 20, 2020.
