Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Prior to each year’s election of directors for the Federal Home Loan Bank of Boston (the “Bank”), the Director of the Federal Housing Finance Agency (“Finance Agency”) is required by law and regulation to designate the aggregate number of member directorships for the following year for each state in the Bank’s district, based in part on the relative amount of Bank stock that members in each state were required to own as of the preceding December 31.
Due to a shift in the relative amount of stock required to be held by our Connecticut and Rhode Island members as of December 31, 2018 (compared to December 31, 2017), the Finance Agency has changed the composition of the Bank’s member directorships as follows: commencing January 1, 2020, Connecticut will have one member directorship (compared to its current two member directorships) and Rhode Island will have two member directorships (compared to its current one member directorship). As a result, the term of the directorship held by Gregory R. Shook will end on December 31, 2019 rather than December 31, 2020. In addition, the Bank will hold an election in the fall of 2019 to fill the newly designated Rhode Island directorship.
