Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 21, 2022, the board of directors (the Board) of the Federal Home Loan Bank of Boston (the Bank) approved the amended and restated bylaws of the Bank (as amended and restated, the Bylaws), attached hereto as Exhibit 3.2, and incorporated herein by reference. Changes to the Bylaws include:
a.clarifying that officers of the Bank include various categories of Vice President and similar titles;
b.granting authority to the President to create and fill officer positions at the Bank, except officer positions within the Bank’s Management Committee, which would require Board approval; and
c.granting authority to the Board or the President to remove at any time, with or without cause, any officer of the Bank, except officers within the Bank’s Management Committee, which would require Board approval.
Additional non-substantive or minor clarifying changes to the Bylaws were also approved.
