Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 16, 2010, the Federal Home Loan Bank of Atlanta (the "Bank") filed a report on Form 8-K regarding the resignation of Richard A. Dorfman as President and Chief Executive Officer of the Bank and to describe the terms of an Agreement and Release of Claims between the Bank and Mr. Dorfman, effective April 14, 2010 (the "Agreement"). Payments to Mr. Dorfman under the Agreement were subject to approval of the Federal Housing Finance Agency (the "FHFA") or non-objection thereto within the time period set for objection by the FHFA.
On May 5, 2010, the Bank received notice from the FHFA of non-objection to (a) an aggregate severance payment of $900,000 to Mr. Dorfman; (b) up to $25,000 for reimbursement of actual legal expenses incurred by Mr. Dorfman related to the Agreement; and (c) the cost of continuing Mr. Dorfman's current medical insurance coverage for the period beginning May 1, 2010 and ending May 31, 2010.
