ECHO HEALTHCARE SETS DATE FOR SPECIAL MEETING OF
STOCKHOLDERS RELATING TO THE
PROPOSED MERGER WITH XLNT VETERINARY CARE, INC.
VIENNA, Virginia—November 13, 2007—Echo Healthcare Acquisition Corp. (“Echo” or the “Company”) (OTCBB: EHHA.OB), a blank check company, today announced that its board of directors has set a meeting date of December 12, 2007 for its special meeting of stockholders to consider and vote upon the Company’s proposed merger with XLNT Veterinary Care, Inc. (“XLNT”) The meeting will be held at Noon Eastern Time at the offices of McDermott Will & Emery LLP, 340 Madison Avenue, New York, NY. Stockholders of Echo as of the close of business on November 7, 2007 (“Record Date”) will receive notice of and voting materials for this special meeting.
At the meeting, stockholders as of the Record Date will be asked to consider and vote on four proposals, including: (i) approval of Echo’s merger with XLNT (Proposal 1); (i) approval of an amendment to Echo’s certificate of incorporation to increase the number of authorized shares of common stock from 25,000,000 shares to 90,000,000 shares and the authorized shares of preferred stock from 1,000,000 to 10,000,000 shares, as well as to change the name of the Company from “Echo Healthcare Acquisition Corp.” to “Pet DRx Corporation (Proposal 2); (iii) approval of the 2007 Pet DRx Corporation Stock Incentive Plan; (iv) the payment, out of proceeds currently held in trust, of the consulting fees incurred by Windy City, Inc. for the benefit of Echo relating to the engagement of Strategic Alliance Network; and (v) to transact such other business as may properly come before the meeting or any adjournment or postponement.
