Explanatory Note
This Current Report on Form8-K/A (the “Amendment”) amends the Current Report on Form8-K filed by Resource Capital Corp. (the “Company”) with the U.S. Securities and Exchange Commission on June 6, 2017 (the “Original Form8-K”). The Original Form8-K reported the final voting results of the Company’s Annual Meeting of Stockholders held on June 1, 2017 (the “Annual Meeting”). The sole purpose of this Amendment is to disclose the Company’s decision regarding the frequency of future stockholder advisory votes on the compensation of its named executive officers (“say on pay”). No other changes have been made to the OriginalForm 8-K.

As previously reported in the Original Form8-K, at the Annual Meeting anon-binding, advisory vote was taken on the frequency of future advisory say on pay votes. Among the options presented to stockholders (annual, biennial or triennial), the greatest number of votes were cast in favor of holding such an advisory vote on an annual basis. The Company’s board of directors considered the outcome of this advisory vote and unanimously determined that the Company will hold future say on pay votes on an annual basis until the next required vote on the frequency of say on pay votes. The next advisory vote on the frequency of say on pay votes is required to occur no later than the Company’s 2023 annual meeting of stockholders.
