ITEM 8.01 Other Events
Cogdell Spencer Inc. (the “Company”) is filing this Form 8-K to update the Company’s historical financial statements included in its Annual Report on Form 10-K filed on March 31, 2006, for discontinued operations that have resulted from the disposition of a real estate asset during the period January 1, 2006 through September 30, 2006, in accordance with Statement of Financial Accounting Standards No 144, “Accounting for the Impairment or Disposal of Long-Lived Assets.” This Current Report on Form 8-K updates the information in Items 2, 6, 7 and 8 of the Company’s Annual Report on Form 10-K for the year ended December 31, 2005, to reflect the property as discontinued operations for comparison purposes.
The information contained in this Current Report on Form 8-K is presented as of December 31, 2005, and other than as indicated above, has not been updated to reflect developments subsequent to that date.
